Biography
Russell W. Cook is a shareholder of the firm and member of the Transactional Practice Group at Carnahan, Evans, Cantwell & Brown, P.C. His practice includes all areas of real estate development including acquisition financing, development of mixed-use projects, formation of condominiums and other mixed-use regimes, sales and marketing, and leasing. Additionally, Mr. Cook's practice also emphasizes tax planning, formation of business organizations, partnership transactions, and business succession planning for closely held businesses. Mr. Cook also does extensive consulting in the formation, reorganization, and merger of limited liability companies, as well as private placements and the negotiation and documentation of large financing facilities. His extensive experience also includes TIF, negotiating CID, and public/private partnerships with municipalities.
Prior to his association with Carnahan, Evans, Cantwell & Brown, P.C., Mr. Cook was in private practice and served as General Counsel of a regional real estate and development company. In his career, Mr. Cook established numerous condominiums, subdivisions, time-share regimes, as well as closed over $100 million in loan transactions as borrower's counsel. He has been involved in every aspect of the acquisition and sale of large tracts of land and their development, including initial tax planning, the formation of necessary business entities, sales, and marketing plan and registrations.
Mr. Cook received his Bachelor's Degree from Southwest Missouri State University in 1986, his law degree from the University of Arkansas in 1996 and his LL.M. in Taxation from the University of Missouri - Kansas City in 1997. He is licensed to practice in Missouri, Kansas, and Arkansas.
Mr. Cook is extensively involved with youth-related activities in his community. He has served as a coach for numerous soccer, basketball, and baseball teams and has been on the Board of Directors of Lake Country Soccer in Springfield. He has also been involved in training youth to play a variety of musical instruments.
Mr. Cook is a member of the Kansas Bar Association, the Arkansas Bar Association, and the American Bar Association. He is a member of the sections on taxation, business law, and real property, probate and trust law. He has presented legal education seminars on various subjects including the use of technology in real estate transactions, the ethical implications of the use of technology in real estate transactions and other real estate and limited liability company matters.
